Terms of Service.

These terms set out how Golain provides the website, the platform and the services around it, what we are responsible for, and what we ask of you in return.

01Who these terms bind

Golain Systems Private Limited (“Golain”, “we”, “us”) builds operational intelligence software for manufacturers. We are registered in India with our office in Pune, Maharashtra.

These terms apply when you:

  • visit golain.io or any Golain subdomain;
  • sign in to the Golain platform as a named user at a customer or partner organisation;
  • use any trial, evaluation, pilot or development environment we make available to you.

Golain is sold to organisations, not to consumers. If you are using the platform because your employer or a partner bought it, the agreement is between us and them, and these terms describe the rules you use it under. Nothing here gives you rights your organisation has not been granted.

02The agreement and what takes precedence

Most customers sign an order form or master agreement with us that covers scope, pricing, service levels and data processing. Where such a signed agreement exists and says something different from these terms, the signed agreement wins for that customer.

These terms govern everything not covered that way: the public website, self-serve and trial access, and any use of the platform where no separate agreement is in force.

03The service

The Golain platform connects to industrial systems, collects machine and process data, and turns it into views, alerts, workflows and recommended next steps. Exactly which capabilities are enabled for you depends on what your organisation has bought and how the deployment is configured.

We improve the platform continuously. We may add, change or withdraw features. Where a change materially reduces a capability a customer relies on, we will give reasonable notice to that customer.

Environments we label as development, staging, evaluation or pilot are provided for testing. They carry no service level, may be reset or withdrawn, and should not be relied on for production operations.

04Accounts, sign-in and connected applications

Access to the platform is authenticated through our identity service, which runs on Golain-operated subdomains and implements the OAuth 2.0 and OpenID Connect standards. When you sign in, you may be redirected between a Golain sign-in page and the application you started from. This is the normal operation of those standards, not a redirection away from Golain’s control.

Applications that integrate with Golain are registered in advance by us or by the customer that owns them. Each registration declares the exact addresses a user may be returned to after signing in, and sign-in requests naming any other address are rejected. Registered applications and their return addresses may sit on a customer’s own domain rather than on golain.io.

You are responsible for:

  • keeping your credentials, tokens and second factors confidential and not sharing an account;
  • the actions taken under your account;
  • telling us promptly at support@golain.io if you believe an account, key or token has been compromised.

Customer administrators control who holds an account in their organisation, and may create, suspend or remove accounts and change what those accounts can reach.

05Acceptable use

You may not use Golain, or let anyone use it, to:

  • break the law, infringe someone’s rights, or breach an obligation you owe a third party;
  • impersonate a person or organisation, or misrepresent your affiliation with one;
  • host, link to or distribute deceptive content, malware, or material designed to obtain credentials or other sensitive information under false pretences;
  • probe, scan or test the security of the platform without our written permission, or interfere with its operation or with another customer’s use of it;
  • reverse engineer, decompile or attempt to derive source code, except where law expressly permits it;
  • resell, sublicense or provide the platform as a service to a third party, unless your agreement with us says you may;
  • use the platform to build a competing product, or publish benchmarks of it, without our written consent.

Registering an application on our identity service, or configuring a connected system, in a way that is designed to deceive users about who they are dealing with is a breach of these terms. We may remove such a registration immediately.

06Customer data and machine data

Data a customer connects to Golain or generates in it — controller tags, process readings, fault logs, documents, work orders and the records built from them — belongs to that customer. We do not acquire ownership of it by processing it.

We use it to run the service for that customer, to support and troubleshoot it, and to keep it secure. Where we want to use data to improve our products more broadly, we do so on terms agreed with the customer, and in aggregated or de-identified form unless the customer has agreed otherwise in writing.

Personal data inside a deployment is handled as described in our privacy policy, which also explains where we act as a controller and where we act as a processor for a customer.

Customers are responsible for having the right to connect the systems they connect, and for the accuracy of what they put into the platform.

07Confidentiality

Each side may learn confidential information about the other — plant data, pricing, roadmaps, security details. Each side will protect the other’s confidential information with at least the care it applies to its own, use it only to perform or receive the service, and disclose it only to people who need it and are under equivalent obligations.

This does not apply to information that is public through no fault of the receiving side, was already known to it, or is independently developed. Disclosure required by law is permitted, with notice to the other side where the law allows.

08Fees, invoicing and taxes

Fees, billing period and payment terms are set in the order form or agreement. Unless it says otherwise, invoices are payable within thirty days, fees are exclusive of taxes, and you are responsible for applicable taxes other than tax on our income.

We may suspend access to accounts under an overdue invoice after giving reasonable notice. We will not suspend a safety-relevant capability without discussing it with the customer first.

09Intellectual property and feedback

We own the platform, the software behind it, our documentation and our brand, along with every improvement to them. Your organisation gets a non-exclusive, non-transferable right to use the platform during the term, for its own internal operations, within the scope it has bought.

If you send us feedback, suggestions or feature requests, we may use them without restriction or payment. This does not give us any right to your data or your confidential information.

10Connected and third-party systems

The platform connects to systems we do not control — historians, MES and ERP systems, cloud services, device management platforms, identity providers and messaging services. Those systems are governed by their own terms, and their availability and behaviour are not something we can promise.

Where a customer or partner registers an application or a connection, that customer or partner is responsible for it, including the domains it uses and the content it serves. We are responsible for the Golain side of the connection.

11Availability, support and security

Where a customer has a signed service level, that document governs availability, support response and maintenance windows. Absent one, we provide the platform on a commercially reasonable efforts basis.

We take planned maintenance windows and we will give notice of ones we expect to be disruptive. Emergency maintenance, including security patching, may happen without notice.

If you believe you have found a security vulnerability, tell us at support@golain.io and give us a reasonable period to fix it before disclosing it. We will not pursue good-faith research reported that way.

12Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care, and that we have the right to provide it.

Beyond that, and to the extent the law allows, the platform is provided as is. We do not warrant that it will be uninterrupted or error free, or that its outputs will be complete or correct for a particular purpose.

Golain supports operational decisions; it does not make them. Recommendations, alerts, forecasts and analyses produced by the platform are aids to judgement. They are not a substitute for a qualified person, for your safety systems, or for your regulatory obligations. Do not use Golain as the sole control for a safety-critical function or as a protective system.

13Limitation of liability

To the extent the law allows, neither side is liable for indirect or consequential loss, loss of profit, revenue, production, goodwill or data, however it arises.

Each side’s total liability arising out of the agreement is capped at the fees paid or payable for the service in the twelve months before the event giving rise to the claim.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law.

14Indemnity

We will defend your organisation against a third-party claim that the platform, used as permitted, infringes that party’s intellectual property rights, and pay the damages finally awarded.

Your organisation will defend us against a third-party claim arising from data it connects or content it puts into the platform, or from use of the platform in breach of the acceptable use section.

Either indemnity requires prompt notice, control of the defence, and reasonable cooperation.

15Term, suspension and termination

The term is set in the order form. Either side may terminate for material breach that is not cured within thirty days of written notice.

We may suspend an account or a connected application immediately, without the cure period, where we reasonably believe it is being used to attack the platform, to deceive users, or in a way that puts other customers or their data at risk. We will tell the customer why.

On termination, access ends. We will make customer data available for export for thirty days, then delete it on the schedule described in our privacy policy and any agreed data processing terms.

16Governing law and disputes

These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction, except that either side may seek injunctive relief wherever necessary to protect its intellectual property or confidential information.

Before starting proceedings, each side will raise the issue in writing and give the other thirty days to resolve it.

17Changes to these terms

We update these terms when the service or the law changes. The effective date at the top of the page always reflects the current version. Where a change materially affects a customer’s rights, we will tell that customer directly rather than relying on this page.

Continuing to use the platform after a change takes effect means you accept it.
